1. Booking Confirmation
All bookings for instructor-led classes must be confirmed in writing. A booking is confirmed only when the signed agreement is received and the invoice amount is paid in full no later than twenty-five (25) calendar days before the scheduled class start date.
2. Payment and Due Date
The full invoice amount is due twenty-five (25) calendar days prior to the class start date. If payment is not received by this deadline, the booking will be automatically cancelled and the Client will forfeit any provisional reservation of instructor time.
3. Scheduling and Availability
Instructor availability is reserved for the Client only after the booking is confirmed under Section 1. Agreed training dates will be removed from general availability once payment is received.
4. Cancellation and Rescheduling
a. Cancellation more than 25 days prior to start date: If the Client cancels more than twenty-five (25) days before the class start date, cancellations may be made without penalty except for any non‑refundable costs already incurred.
b. Cancellation within 25 days of start date: Cancellations made within twenty-five (25) days of the scheduled class start date will require the Client to pay all incurred costs (including travel, accommodation, materials, and administrative expenses) and a Lost Opportunity Fee equal to 30% of total contract value, to compensate for the reserved instructor time.
c. Rescheduling within 25 days: Requests to reschedule within twenty-five (25) days of the class start date will be treated as a cancellation and are subject to the same fees unless otherwise agreed in writing.
5. Travel and Expenses
The Client agrees to reimburse reasonable travel and related expenses incurred by the Instructor. Any prepaid or non‑refundable expenses will be billed to the Client in full.
6. Force Majeure
Neither party will be liable for failure to perform due to causes beyond reasonable control (e.g., natural disasters, government actions, transportation disruptions). In such events, the parties will make reasonable efforts to reschedule the training. Payment obligations for costs already incurred prior to the event remain as set out in these terms.
7. Late or Failed Payment
If payment is not made by the twenty-five (25) day deadline, the booking will be cancelled as stated in Section 2. Any rebooking after cancellation is subject to instructor availability and may incur additional charges.
8. Acceptance of Terms
By confirming a booking, the Client acknowledges and agrees to these Terms and Condition
